Abstract | In 1986, Vietnam introduced the “Doi Moi” policy (Open up) and since then Vietnam has been undergoing economic reforms from a central planning economic policy to a market oriented economy. Along with the economic reform, our petroleum industry has been opening up and developing fast. A number of Foreign Partners have come to Vietnam to invest in the petroleum business. The presence of foreign investors has contributed to the fast development of our petroleum industry which is the strong impetus for overall economic development of Vietnam. In practice, one way to carry out the business between PetroVietnam, the representative of the host country, and the foreign investors is to establish a Joint Operating Company (JOC) which acts as the agent of the Contractor Parties in conducting petroleum activities in the assigned area in accordance with the decisions of the Management Committee. Based on the agreement between the Parties, each Partner will assign a number of its staff (secondees) to work in the JOC. Since Cuu Long JOC was established by stakeholders from 4 different countries: Vietnam, America, South Korea and Spain, conflict of interests is a common problem because each Contractor Party will try their best to protect their interests. This research will address some of the main issues that hinder the process of making decision and directly affect the company’s operations. The outcome of the study together with the recommendations maybe helpful to find the way to bridge the gap between the parties to help CLJOC in enhancing its activities for the benefit of all the concerning parties. |
