Abstract | This paper provides an insight of corporate governance with particular focus on disclosure and
transparency practice within a local public listed joint stock bank in Vietnam, which from my
perspective, is an urgent requirement for building long-term accountability and trust with
investors/shareholders. The approach is originated in the circumstances of complex business
environment and regulatory changes to cope with manipulation and violation of many bankers.
It examines the persistence of current practice and the effects of legal framework development
regarding transparency and information disclosure of pubic listed banks in Vietnam. The
discussion and findings reveal the fact that the current practice does not fully meet the
expectation of the investors/shareholders because of major issues such as lack of awareness
from the key members of the bank hence insufficient/minimal compliance of the requirements
on transparency and information disclosure; lack of clarifications and modification for
banking sector and inefficient monitoring mechanism from the regulators; and penalty and
fines are not strong enough to prevent the market from violation and manipulation. The paper
concludes with some recommendations of which stricter measures and enhancement of data
process from the regulatory bodies are urged to ensure immediate, equal and consistent
implementation of all market players |
